RVETH – Terms of Service
Effective Date: July 2, 2025
1. Your Agreement to These Terms
Welcome to RVETH Technologies Limited ("RVETH," "we," "our," or "us"). We provide TALA, an AI business assistant, and related data intelligence services (collectively, the "Services").
These Terms of Service ("Terms") govern your access to and use of our Services. This document is a legally binding contract between you (the "User," "you," or "your") and RVETH.
By accessing, registering for, or using our Services, you agree to be bound by these Terms and our Privacy Policy (which is incorporated herein by reference). If you do not agree to all of these Terms, you must not use our Services.
2. The Services: What RVETH Is (and Is Not)
What We Are:
RVETH provides AI-powered infrastructure and data-to-information tools. Our Services are designed to help you organize, process, and understand your business data. TALA is an AI assistant that can record transactions, generate summaries (like cash flow or P&L), and provide AI-generated insights based only on the data you provide.
What We Are Not (Our Disclaimer):
RVETH IS NOT A FINANCIAL, LEGAL, OR BUSINESS ADVISOR. WE ARE NOT A BANK, LENDER, OR ACCOUNTING FIRM.
The Services are for informational purposes only. Any outputs, summaries, or insights generated by TALA do not constitute financial, investment, legal, tax, or professional advice.
Our Services are not a substitute for professional advice from a qualified accountant, financial advisor, or lawyer.
AI Is Not Infallible. You acknowledge that AI and machine learning models can produce errors, "hallucinate," or provide inaccurate information.
You are solely responsible for verifying the accuracy of any information provided by the Services and for all business and financial decisions you make. RVETH is not responsible for any actions you take (or fail to take) based on your use of the Services.
3. Eligibility and User Accounts
You may use the Services only if you are at least 18 years old, can form a binding contract with RVETH, and are not barred from using the Services under applicable law.
You are responsible for safeguarding your account access (including your WhatsApp or messaging platform) and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
4. User Conduct and Restrictions
As a condition of use, you agree not to:
- Use the Services for any fraudulent, illegal, or unauthorized purpose.
- Reverse engineer, decompile, or attempt to extract the source code or underlying components of our models, algorithms, or systems.
- Use automated means (like bots or scrapers) to access the Services, other than through our officially supported interfaces.
- Interfere with or disrupt the integrity or performance of the Services.
- Provide any input data that you do not have the lawful right to use or process.
5. Your Content and Our License to Use It
(a) You Own Your Content
You retain all ownership rights to the information, data, messages, and content you submit through the Services (your "Content").
(b) The License You Grant Us
To operate, provide, and improve our Services (especially our AI models), we need your permission to use your Content.
You hereby grant RVETH a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sub-licensable license to use, host, store, reproduce, modify, adapt, create derivative works from, communicate, publish, process, and analyze your Content for the following purposes:
- To provide, maintain, and secure the Services for you.
- To train, develop, and improve our AI models and the underlying technology that powers the Services.
- To conduct research and development.
- To create Anonymized & Aggregated Data (as defined in our Privacy Policy), which we may use for any lawful business purpose.
This license continues even if you stop using our Services. For clarity, any use of your Content for AI training will be done in accordance with our Privacy Policy, which details our strong anonymization and de-identification protocols.
6. Third-Party Integrations
If you choose to connect the Services to third-party accounts (e.g., banks, payment providers), you authorize us to exchange the necessary information with those services. We are not responsible for the privacy practices, security, or functionality of any third-party service. Your use of such services is at your own risk and subject to their terms and policies.
7. Intellectual Property Rights
Your Content: As stated in Section 5, you own your Content.
Our IP: RVETH and its licensors exclusively own all right, title, and interest in and to the Services, including all software, trademarks, logos, system designs, AI models, and algorithms.
Anonymized Data: RVETH exclusively owns all right, title, and interest in and to any Anonymized & Aggregated Data derived from or using your Content.
Your License to Use Output: Subject to your compliance with these Terms, we grant you a limited, non-exclusive license to use the output (e.g., reports, summaries) generated by the Services for your internal business purposes.
8. Disclaimers and Limitation of Liability
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS RVETH'S LIABILITY TO YOU.
(a) "AS IS" AND "AS AVAILABLE"
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. RVETH EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
(b) NO GUARANTEE OF ACCURACY OR RELIABILITY
RVETH MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, OR COMPLETENESS OF ANY INFORMATION OR OUTPUTS PROVIDED BY THE SERVICES.
(c) LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RVETH AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM:
- YOUR USE OF, OR INABILITY TO USE, THE SERVICES;
- ANY FINANCIAL OR BUSINESS DECISIONS YOU MAKE BASED ON THE OUTPUTS OF THE SERVICES;
- ANY ERRORS, INACCURACIES, OR OMISSIONS IN THE AI-GENERATED CONTENT;
- THE CONDUCT OF ANY THIRD PARTY; OR
- UNAUTHORIZED ACCESS TO OR USE OF YOUR CONTENT.
IN NO EVENT SHALL RVETH'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (I) ONE HUNDRED UNITED STATES DOLLARS ($100.00) OR (II) THE AMOUNT YOU PAID RVETH, IF ANY, IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to defend, indemnify, and hold harmless RVETH Technologies Limited and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) Your use of and access to the Services; (b) Your violation of any term of these Terms; or (c) Your violation of any third-party right, including any intellectual property or privacy right.
10. Termination
You can stop using our Services at any time. We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice, if you breach these Terms or misuse the Services.
Sections 5 (Your Content and Our License), 7 (Intellectual Property), 8 (Disclaimers), 9 (Indemnification), 11 (Governing Law), and 12 (General Terms) will survive any termination of these Terms.
11. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be settled by binding arbitration administered by the Lagos Court of Arbitration (LCA) in accordance with its rules. You and RVETH agree to waive any right to a trial by jury or to participate in a class-action lawsuit or class-wide arbitration.
12. General Terms
Changes to Terms: We may modify these Terms at any time. We will provide notice of material changes (e.g., via WhatsApp or our website). Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
Entire Agreement: These Terms (and the Privacy Policy) constitute the entire agreement between you and RVETH regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
